These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and the developer of NoteSpend ("Developer," "we," "us," or "our") governing your use of the NoteSpend mobile application ("App") and related services.
By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.
NoteSpend is a financial tracking tool that uses Artificial Intelligence (AI) to parse natural language notes into structured transaction data.
The App uses AI to interpret your text. While we strive for accuracy:
You retain all ownership rights to the content you create in the App, including your transaction entries, notes, and any other user-generated content ("User Content").
By using AI features, you grant us a limited, non-exclusive license to process your User Content solely for the purpose of providing the requested AI analysis or generation. We do not store, share, or use your User Content for any other purpose.
You agree not to use the App to create, store, or transmit content that:

Pro subscribers are subject to the following fair usage limits per billing period:
These limits reset at the start of each billing period. Exceeding these limits may result in temporary restriction of AI features until the next billing period.
We monitor usage patterns to prevent abuse. Automated, scripted, or excessive use may result in:
Refund requests are handled by Apple according to their refund policy. We do not have the ability to process refunds directly. To request a refund, visit reportaproblem.apple.com.
We reserve the right to change subscription prices. Any price changes will take effect for the next billing period after notice is provided.

THE APP AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE DEVELOPER SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APP SHALL BE LIMITED TO THE AMOUNT YOU PAID US, IF ANY, FOR ACCESSING THE APP DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.
IF YOU ARE DISSATISFIED WITH THE APP OR THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE APP.
You agree to defend, indemnify, and hold harmless the Developer from and against any claims, damages, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the App, your violation of these Terms, or your violation of any rights of another.
We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason whatsoever, including but not limited to breach of these Terms. Upon termination, your right to use the App will immediately cease.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Before initiating any formal dispute resolution, you agree to first contact us at support@notespend.app and attempt to resolve the dispute informally for at least 30 days.
If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the App shall be resolved exclusively through final and binding arbitration, rather than in court. The arbitration shall be conducted in accordance with the rules of a recognized arbitration body in our jurisdiction.
YOU AND THE DEVELOPER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
You expressly waive any right to participate in a class action lawsuit or class-wide arbitration.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Developer regarding the App.
